Please read these terms and conditions carefully before using Our Service.
Interpretation and Definitions
Interpretation
The words of which the initial letter is capitalised have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
Definitions
For the purposes of these Terms and Conditions:
- Service means the sourcing advisory, sample testing and order coordination services provided by VisionSelect through the website.
- You means the individual or entity accessing or using the Service.
- We/Us/Our means VisionSelect.
- Order means a purchase of goods from a manufacturer or supplier that We coordinate on Your behalf.
- Commission means the fee payable to Us on Orders We manage, as disclosed in writing before the Order is placed.
- Goods means industrial cameras, lenses, lighting, accessories and related hardware sourced through the Service.
The Service
VisionSelect provides sourcing advisory services: requirements analysis, vendor-neutral product selection, sample sourcing and bench testing, and coordination of factory-direct orders. We are a service provider, not the seller of the Goods.
What we are not
- We are not a distributor or reseller of any brand represented in our recommendations.
- We do not hold inventory and we do not take ownership or custody of Goods at any point.
- We are not the importer or exporter of record. You (or Your broker) clear customs; the factory ships to You.
- We do not manufacture the Goods and do not issue manufacturer certifications.
Fees and Payment
- Service fees (Selection Sprint, Sample Lab handling) are quoted and agreed in writing before work begins and are payable in advance.
- Sample hardware, courier, freight, duties and taxes are pass-through at cost and are quoted to You for approval before we incur them.
- Commission on managed Orders is disclosed in writing before the Order, calculated on the agreed order value (EXW/FOB, excluding freight and duties), and invoiced after shipment.
- We accept no kickbacks, rebates or commissions from manufacturers. Our compensation comes from You, disclosed in full.
Your Responsibilities
You are responsible for: the accuracy of the requirements and specifications You provide; obtaining any regulatory approvals, certifications or import licences required in Your jurisdiction; payment of duties and taxes; and decisions to proceed with any Order.
Certification and Compliance Statements
Where certifications (such as CE, FCC or RoHS) are required, they are issued by the manufacturer or an accredited testing laboratory. We assist in obtaining them but never assert, warrant or fabricate compliance on behalf of any manufacturer.
Limitation of Liability
To the maximum extent permitted by law, Our aggregate liability arising out of or in connection with the Service shall not exceed the total fees actually paid by You to Us in the twelve (12) months preceding the claim. We shall not be liable for indirect, incidental or consequential damages, including production downtime, lost profits or costs of substitute sourcing, except in cases of Our wilful misconduct.
Where an Order fails due to a factory default, Our role is to assist You in pursuing the remedy against the factory; the Commission on that Order is waived.
Intellectual Property and Confidentiality
Each party retains rights in its own materials. Specifications, drawings, defect images and business information You share with Us are treated as confidential and used only to deliver the Service. Test reports, images and video We produce for You are Yours to use internally or with Your customers.
Governing Law
These Terms are governed by the laws applicable to the VisionSelect operating entity. Any disputes shall be subject to the competent courts of that jurisdiction. The governing entity and venue will be finalised and stated here before the Service is offered commercially.
Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted on this page with an updated revision date. Material changes affecting ongoing engagements will be notified to active clients directly.
